It sets forth our commitment to maintaining a respectful, collaborative, and productive environment, while ensuring compliance with all relevant legal standards.

This policy applies to all individuals within PEDES Studios, including employees, contractors, and affiliates. It is mandatory for all stakeholders to understand, adhere to, and comply with the contents of this policy.

This policy operates within the framework of the company’s mission, values, and compliance obligations, offering guidance on day-to-day operations, employee behavior, and organizational procedures.

1.5 Agreement to Terms

By being employed by PEDES Studios and/or signing an Employment or Board of Directors contract, all individuals agree to fully adhere to the terms and conditions outlined in this entire Policy document. Non-compliance with any part of this policy may result in disciplinary actions as defined by the company.

Section 2: Outlining Every Department

2.1 Overview

PEDES Studios operates through a structured and dynamic set of departments, each with specialized roles designed to foster growth, operational efficiency, and strategic goals. Each department is essential to the success of the company and contributes to various areas of management, production, and organizational operations.


2.2 Executive Department

Head of Department: CEO

Overview:

The Executive Department, led by the CEO, is responsible for setting the overall strategic direction of PEDES Studios. The CEO acts as the visionary leader, guiding the company towards achieving its long-term goals, and ensures alignment across all departments.

Key Responsibilities:

Establishing the company’s vision and long-term strategies.

Making high-level decisions about policy, company direction, and resource allocation.

Representing PEDES Studios in meetings with stakeholders, investors, and key partners.

Overseeing all departmental heads to ensure alignment with the company’s mission.

How it Works:

The Executive Department is a high-level team that works closely with the Board of Directors to ensure PEDES Studios’ growth and stability. The CEO communicates closely with all other department heads to review performance and make adjustments as needed.


2.3 Operational Department

Head of Department: COO

Overview:

The Operational Department is responsible for the day-to-day activities of PEDES Studios. The COO ensures the smooth operation of business processes and oversees the management of internal operations across all departments.

Key Responsibilities:

Managing daily company operations and ensuring efficient workflows.

Developing operational strategies to support long-term company goals.

Overseeing logistics, supply chain, and resource management.

Ensuring all departments work collaboratively to achieve operational targets.

2.4 Financial Department

2.6 Human Resources Department

Very little is known publicly about the operations of this department, and it operates with a high degree of confidentiality.

Due to the highly classified nature of the department, specific details are not disclosed to the public or even to most of the company’s leadership.

How it Works:

The Chairman oversees this department and works directly with a select group of individuals. This department operates independently from other departments, with its activities closely guarded and shared only on a need-to-know basis.


Section 3: Payment & Payment Policy

3.1 Overview

PEDES Studios is committed to maintaining a transparent and fair payment system that aligns with the company’s financial health and the contributions made by its employees and contractors. Payment will be distributed on a regular basis, but it is contingent upon the company’s stability, which will be confirmed by the CEO, CFO, and Chairman. Payments will be made on a fortnightly schedule, but various factors, including individual credits, company financial resources, and the workload of employees, will determine the amount and timing of the payments.

3.2 Payment Eligibility

Before any payments can be made, the following conditions must be met:

Company Stability Declaration: PEDES Studios will begin paying employees once the company is declared financially stable. The declaration of stability must be made jointly by the CFO, Chairman, and CEO. This decision will be based on the company’s available financial resources and operational health.

Completion of Required Documentation: Employees and contractors must complete any necessary paperwork, including tax forms, direct deposit setups, and other administrative tasks, before they become eligible for payment.

Work Performance: Payments will be calculated based on the work completed during each fortnight. This includes the number of tasks, quality of work, and meeting deadlines.

3.3 Payment Frequency

Once the company has been declared stable and all necessary requirements are met, payments will be made fortnightly. This means that employees and contractors will receive payments every two weeks, assuming they fulfill their work obligations and meet the company’s performance criteria.

3.4 Payment Calculation

The amount employees and contractors receive each fortnight will be determined by the following factors:

Credits: Employees will accumulate credits based on their performance, such as meeting deadlines, achieving key performance indicators (KPIs), and completing assigned tasks. These credits will directly influence the payment amount.

Company Financial Health: The company’s financial resources will play a significant role in determining the overall payment pool. If the company is facing financial limitations, payment amounts may be reduced until the company’s financial stability improves.

Workload: The amount of work an employee or contractor completes within the fortnight will also impact their payment. Employees who take on more tasks or projects, or work longer hours, may receive higher payments.

Departmental Budgeting: Each department will have its budget, and the allocation of funds within departments will impact payment distribution. Department heads will oversee the distribution of funds based on departmental performance and individual contributions.

Bonuses and Incentives: In some cases, employees may be eligible for bonuses or incentives based on exceptional work performance, exceeding expectations, or contributing to significant company milestones. These bonuses will be added to the employee’s regular payment.

3.5 Payment Mode

PEDES Studios will primarily issue payments through direct deposit. However, the following details are important:

Direct Deposit: All employees and contractors are required to set up direct deposit for ease of payment. Any employee or contractor who fails to provide direct deposit details within 30 days of the company declaring stability will have their payment delayed until the setup is complete.

Cash Payments: Employees or contractors who choose to be paid in cash will experience a delay in payments. Once the company is declared stable, they will not receive any payments for the first three months. After the three-month waiting period, they will begin receiving payments in cash, but their payments will be subject to the same criteria as all other employees, including credits and company financial health.

3.6 Credit System Impact

The Credit System, which tracks employee performance, will have a direct effect on payment amounts. The following clauses define the system:

Credit Accumulation: Employees earn credits by completing tasks, projects, and hitting performance milestones. Credits are reviewed and calculated on a fortnightly basis.

Credit Adjustments: Credits may be adjusted or revoked if an employee fails to meet performance expectations, violates company policies, or underperforms. Employees will be notified of any credit changes.

Credit to Payment Ratio: A percentage of the employee’s payment will be directly tied to their credits. For example, an employee with a higher credit score will receive a higher percentage of their expected payment.

Performance Reviews: Performance reviews will be held at regular intervals to assess an employee’s contribution to the company. These reviews will factor into the overall credit score, which influences the payment.

3.7 Salary and Bonus Payments

In addition to regular payments, employees may be eligible for salary increases or bonuses based on their performance and the company’s financial situation. The following clauses apply:

Salary Reviews: Employees will undergo salary reviews every six months. During these reviews, an employee’s credits, performance, and overall contributions will be assessed to determine if a salary increase is warranted.

Bonuses: PEDES Studios reserves the right to provide annual bonuses based on the company’s financial health and individual employee performance. Bonuses are not guaranteed and will be allocated at the discretion of the CFO and CEO.

3.8 Deferred Payment Policy

Employees or contractors who experience personal or financial difficulties may request a deferred payment. The following conditions apply:

Deferral Request: Requests for deferred payments must be made in writing to the CFO and must include a valid reason for the deferral.

Maximum Deferral Period: Payment deferrals may last no longer than six months. After the deferral period, payments will resume at the normal frequency.

Interest: PEDES Studios does not charge interest on deferred payments, but the employee’s credits and payment calculations will still be affected by the time they are absent from the payment cycle.

3.9 Payment Delays and Adjustments

In the event of payment delays, PEDES Studios will take the following actions:

Notification: Employees will be notified immediately if there is a delay in payment due to technical or financial issues.

Adjustment Period: Any delays will be adjusted in the following payment cycle, ensuring that the total amount owed is fully paid.

Disputes: Any disputes regarding payment amounts must be submitted in writing to the Human Resources Department. HR will investigate the dispute and work with the CFO to resolve the issue.

3.10 Termination of Payment

If an employee’s contract is terminated, whether by resignation or dismissal, the following applies:

Final Payment: Upon termination, employees will receive a final payment for all work completed up until their last day, subject to the calculation of credits and any deductions for outstanding company property.

Cash Payment Option: Employees who have chosen cash payment will follow the same termination procedures but may experience a delay based on the three-month waiting period if payments have been delayed due to their cash payment request.


Section 4: Credit System

4.1 Overview

The Credit System at PEDES Studios is designed to track and reward employee performance based on individual contributions, task completion, and overall impact on company goals. Credits are not directly tied to payment but serve as a reflection of an employee’s effectiveness, reliability, and performance within their role. The accumulated credits will influence the amount of compensation an employee receives during each payment cycle, acting as a measure of their overall worth to the company.

4.2 Credit Accumulation

Credits are awarded based on the completion of tasks, meeting deadlines, achieving goals, and exceeding expectations within an employee’s role. The following criteria are used for awarding credits:

Task Completion: Employees earn credits for completing assigned tasks within the given time frame. The number of credits awarded depends on the complexity and importance of the task.

Project Achievement: Successful completion of larger projects or milestones will earn employees a set amount of credits based on their contribution to the project’s success.

Performance Excellence: Employees who go above and beyond their regular duties by showing leadership, innovation, or exceptional problem-solving skills will receive additional credits as a reward for performance excellence.

Teamwork and Collaboration: Collaborative efforts with colleagues or departments will be considered for credit awards. Employees who help their peers or contribute positively to team projects will earn credits based on their teamwork.

Attendance and Punctuality: Consistent attendance and punctuality are critical to earning credits. Employees who consistently meet their work hours and deadlines will have their credit balance positively impacted.

4.3 Credit Evaluation and Tracking

All credits will be evaluated and tracked by the Human Resources Department in collaboration with departmental heads. The following applies:

Credit Tracking System: A digital tracking system will be used to monitor each employee’s credit accumulation. Employees will have access to their individual credit balances via the employee portal, where they can see the tasks, projects, and performance that earned them credits.

Credit Reviews: A formal review of credits will take place at the end of each performance cycle (usually every fortnight). During this time, credits will be evaluated, and employees will receive feedback on their performance. After they are reviewed all Credit balance's will be reset to zero.

Adjustment of Credits: In cases where an employee’s performance does not meet expectations, credits may be reduced or revoked. Adjustments will be made based on underperformance, failure to meet deadlines, or violations of company policies. Employees will be notified if their credits are adjusted. If 150 Credits is not reached by the time the credits are reviewed, an automatic, unappealable warning will be given to the member of the company who failed to get to the credit margin.

If the Company forgets to add credits it is final and not the companies fault but the employees.

4.4 Credit to Payment Conversion

The amount of compensation employees receive during each payment cycle is partially determined by their accumulated credits. The following rules apply:

Credit-to-Payment Ratio: A predetermined ratio will be established to convert credits into a financial equivalent. For instance, for every 10 credits earned, an employee may receive an additional $50 or equivalent in their payment. This ratio will be reviewed regularly to ensure fairness and sustainability in line with company financial health.

Payment Variability: Payment amounts will fluctuate based on the number of credits an employee has accumulated. Employees with higher credits will receive larger payments, while those with fewer credits will receive lesser amounts, reflecting their overall contribution.

Impact of Company Financial Status: The company’s financial situation will always be taken into account when determining the payment amount. Even if an employee has accumulated a significant number of credits, if the company is facing a financial constraint, the total amount available for distribution may affect the payment.

4.5 Credit Adjustments

The following circumstances may lead to adjustments in credits:

Underperformance: If an employee fails to meet expectations or does not complete tasks on time, credits may be deducted as a penalty. The amount deducted will depend on the severity of the underperformance.

Disciplinary Action: Employees who are found guilty of violating company policies (e.g., misconduct, failure to comply with rules, or unethical behavior) may have their credits reduced or revoked entirely. This will be determined on a case-by-case basis and after a thorough investigation.

Bonus Credits: Employees who perform exceptionally well or go beyond the scope of their role may be awarded bonus credits. These credits will be added to the employee’s balance, increasing their total credit score.

4.6 Credit Deficit

A Credit Deficit occurs when an employee’s performance falls significantly short of company expectations, resulting in a substantial reduction of their credits. This penalty is designed to address underperformance, misconduct, or repeated violations of company policies. The following guidelines apply:

Definition of Credit Deficit: A Credit Deficit occurs when an employee’s accumulated credits fall below a predefined minimum threshold. The threshold is established by the Human Resources Department based on the performance standards set for the role.

Conditions for Credit Deficit: A Credit Deficit may occur in the following circumstances:

Failure to meet performance targets over a sustained period.

Repeated failure to complete tasks by deadlines or failure to meet the quality standards set by the department.

Violation of company policies (e.g., inappropriate conduct, failure to follow work procedures, or ethical violations).

Impact on Payment: If an employee enters a Credit Deficit, their future payments may be significantly reduced. The deduction will be proportional to the severity of the deficit, and payment adjustments will be reflected in the following payment cycle.

Credit Deficit Recovery: Employees who are in a Credit Deficit will be given a formal review and a set period to improve their performance. During this recovery period, they will be monitored closely, and credits will be awarded based on improvements. If their performance improves to meet or exceed expectations, the deficit will be eliminated, and their credits will be restored.

Warning Due to Persistent Deficit: If an employee fails to recover from a Credit Deficit after a specified period of time (typically 2-3 months), PEDES Studios reserves the right to Give a Warning to their employment, as the deficit will indicate a significant lack of contribution or consistent underperformance.

Section 5: Workplace Behaviour

5.1 Overview

PEDES Studios is committed to maintaining a work environment that is professional, respectful, and conducive to collaboration. All employees are expected to adhere to high standards of workplace behavior, ensuring that both individual and collective contributions align with the company’s core values of integrity, respect, and excellence. This section outlines the behaviors expected of all employees and provides a framework for addressing workplace issues that may arise.

5.2 Professionalism and Respect

Every employee is expected to display professionalism and respect toward their colleagues, supervisors, and external partners. Key aspects of professionalism include:

Mutual Respect: Employees are expected to treat each other with respect, regardless of position, background, or opinion. Disrespectful behaviour, including verbal abuse, personal attacks, and harassment, will not be tolerated.

Communication: Clear, respectful, and timely communication is essential. Employees should aim to communicate in a way that fosters a productive and positive work environment. This includes listening actively, providing constructive feedback, and being transparent when discussing issues, especially in online company hubs.

Workplace Courtesy: Employees should exhibit courteous behaviour in the workplace, maintaining a positive attitude, and engaging with others in a way that promotes harmony within the team.

Appropriate Attire: Employees should dress in a manner that is appropriate for the workplace, ensuring that attire is professional and suitable for their role.

5.3 Collaboration and Teamwork

PEDES Studios values collaboration and teamwork, and employees are encouraged to:

Cooperate with colleagues: Contribute to group efforts and support the needs of the team, ensuring that individual success is aligned with overall company goals.

Share knowledge and resources: Assist colleagues by sharing relevant expertise and resources, enhancing team performance and fostering a culture of continuous improvement.

Participate in team-building activities: Actively engage in initiatives designed to strengthen teamwork and improve working relationships, as encouraged by management.

5.4 Accountability and Responsibility

Employees are expected to take personal responsibility for their actions and the quality of their work:

Meeting Deadlines: All employees must complete tasks within the agreed time frames. Consistently missing deadlines or failing to deliver work of acceptable quality will be considered a breach of workplace behavior standards.

Own Up to Mistakes: When an error occurs, employees are expected to take responsibility for it, work towards a solution, and ensure it does not happen again. Transparent reporting and proactive solutions are encouraged.

Take Initiative: Employees should demonstrate a proactive approach to their work, seeking opportunities to improve processes, contribute ideas, and increase efficiency wherever possible.

5.5 Disciplinary and Reporting Procedures

While the majority of employees perform to the highest standards, there may be instances where behavior does not align with company expectations. When such instances occur:

Employee Relations: The Human Resources (HR) Department plays a crucial role in maintaining a positive work environment. They provide support for resolving workplace conflicts, ensuring that employees adhere to company policies, and addressing issues of misconduct.

Reporting Misconduct: Employees are encouraged to report any behavior that violates the standards set forth in this policy. The process for reporting is confidential, and employees should not fear retaliation for reporting issues such as harassment, discrimination, or unethical behavior.

Disciplinary Action: PEDES Studios takes violations of workplace behavior seriously. Depending on the severity of the infraction, disciplinary actions may range from verbal warnings to more severe measures such as suspension or termination. The HR Department will oversee the disciplinary process to ensure fairness and compliance with company policies.

5.6 HR Involvement

Human Resources (HR) plays an important role in managing employee behavior, offering guidance, and ensuring that employees have a clear understanding of expectations. They are responsible for:

Employee Support: HR provides support for employees who are facing difficulties, whether related to work-life balance, performance, or interpersonal issues. They also assist with navigating any concerns regarding company policies or procedures.

Workplace Culture: HR ensures that PEDES Studios maintains a workplace culture that is inclusive, respectful, and free of discrimination or harassment. HR fosters an environment where diversity is celebrated, and all employees feel valued and supported.

Conflict Resolution: If conflicts arise, HR is the point of contact for mediation and resolution. They help facilitate open and constructive communication between employees and managers, working towards mutually agreeable solutions.

5.7 Prohibited Behaviors

The following behaviors are strictly prohibited and may result in disciplinary action:

Harassment and Discrimination: Any form of harassment or discrimination based on race, gender, sexuality, religion, disability, or other protected statuses is prohibited.

Substance Abuse: Employees are expected to be free from the influence of drugs or alcohol during work hours. Any use of illegal substances or being under the influence of alcohol while at work will lead to immediate action.

Violence and Threats: Verbal or physical violence, threats, or intimidation are strictly prohibited. The safety and well-being of all employees are paramount.

Theft and Fraud: Stealing company property, engaging in fraudulent activities, or misappropriating funds will result in immediate dismissal and legal action.

5.8 Consequences of Violating Workplace Behaviour Standards

PEDES Studios maintains a zero-tolerance policy for severe violations of workplace behaviour standards. Violations will be addressed promptly, with consequences ranging from a formal warning to termination, depending on the severity of the behaviour. If a major violation has been breached then 3 warnings can be immediately given without reason and if a member is fired, legal action cannot be given.

Section 6: Infractions and Terminations

6.1 Overview

PEDES Studios is committed to maintaining a productive and harmonious work environment. Employees are expected to meet performance expectations and adhere to company policies and procedures. However, when an employee’s behavior or performance does not align with these standards, the company has a structured process for addressing infractions and implementing terminations. This section outlines the procedures for issuing warnings, credit deficits, and the conditions under which termination may occur. Please do note that no member of the company may receive any infractions, other than strikes, for personal Reasons.

6.2 Warning System

To ensure fairness and transparency, warnings are used as a means of addressing behavioral and performance issues before resorting to more severe consequences. The warning system allows employees the opportunity to correct their behavior or performance issues.

Types of Warnings:

Warnings can either be permanent or temporary, depending on the severity of the infraction and the specific situation. Permanent warnings remain on an employee’s record indefinitely, while temporary warnings expire after a set duration, which will be clearly documented. The Director of Human Resources (DHR) oversees the duration and type of each warning issued.

Issuance of Warnings:

Warnings can be issued by various personnel within the company, depending on the employee’s role and the department in which they work.

Department Heads: If the infraction pertains to a member of their team, the Department Head (e.g., Chief Marketing Officer, Chief Technology Officer) has the authority to issue a warning.

Board of Directors: For members of the Board of Directors, the CEO or the Chairman holds the authority to issue warnings.

Regardless of who issues the warning, all warnings must be processed and documented through the Director of Human Resources to ensure compliance with company policies and fairness in the application of disciplinary actions.

6.3 The Role of the Director of Human Resources (DHR)

The Director of Human Resources is responsible for overseeing the entire warning and termination process across all departments. They ensure that all warnings are properly documented and handled in accordance with company policy. No warning or disciplinary action can be final until it has been reviewed and processed by the DHR.

Recording Warnings:

All warnings must be officially recorded by the DHR, with the details of the infraction, the date the warning was issued, and the duration of the warning if applicable.

Reviewing Warnings:

The DHR will conduct periodic reviews to ensure the fairness and appropriateness of warnings issued throughout the company. They are also responsible for determining whether temporary warnings should expire or be extended.

6.4 Credit Deficit

In addition to warnings, employees may face a credit deficit, which results in the loss of credits within the company’s credit system. This is a form of punishment where the employee’s credits are reduced, which may lead to a reduction in their pay during the next payment cycle. The credit deficit is linked directly to the performance and behavior of the employee, with the goal of encouraging improvement.

Effect on Pay:

A credit deficit impacts the employee’s pay, as credits are used to determine the amount of money an employee will receive each fortnight. The loss of credits will result in a pay cut, as credits directly correlate with earnings.

6.5 Termination of Employment

If an employee accumulates three warnings, the CEO has the discretion to terminate their employment, provided the warnings have been fully processed by the Director of Human Resources. Termination may occur at any point after the third warning has been issued.

Conditions for Termination:

The termination process is a serious matter and can be initiated by the CEO following the third warning. The CEO will consider the nature of the infractions, the employee’s performance history, and any mitigating factors before making a final decision.

In the case of Board of Directors members, the CEO or Chairman will take action to terminate their involvement if three warnings have been given.

Notice Period:

When an emergency meeting is called, all members of the company (required to come) must attend the meeting or face termination from the company. It is vital that PEDES studios has Emergency meeting when Crisis's occur to swiftly and calmy manage the situation. Emergency Meetings Surpass all holidays, other activities related to the company and not and all operational matters. Emergency Meeting cannot be Under 5 Minutes or over 45 Minutes, thus it's considered a normal Meeting. An emergency meeting may be called if a crisis happens or if all members of the board are in holiday hours.


8.3 Crisis Absolute Clause

If a crisis does occurs during the times upon all Board members are at institution ground, then a crisis is imminently levelled to a 4 because of the severe punishment that may be faced by the Board.
